Terms of Use Agreement

Keystone Charts, Inc. provides its registered members with access to selected financial information services, reports, and actionable alerts (collectively, the “Membership Services”), for Clients individual usage or their employer’s usage provided that the person accessing the Membership Services has been authorized by Client to use the Membership Services, subject to compliance with the terms and conditions set forth herein.  The Membership Services encompasses various methods pointing to potentially actionable investment opportunities based on recent and past technical patterns.  The Membership Services views a macro picture ranging from fixed income, equities, currencies and commodities including futures, ETFs and cash markets.  Membership Services will be provided to subscribers for their use only.  Subscribers must be name specific even if sent to a group email list. Keystone Charts provides the same type of Membership Services to all clients.  

None of the information contained in the Services constitutes a recommendation that any particular security, group of securities, transaction, or investment strategy is suitable for any specific person. Understand that the content in the membership service is not advising you personally concerning the potential value or suitability of any particular security, futures contract, transaction, or investment strategy.  

Membership Services may include one or all of the following:  (1) Morning Call Report covering global macro technical picture in futures and cash; (2) intraday actionable alerts on technical points sent via instant message, voice, and/or email; (3) news and flows related to market movements in various contracts; and, (4) customized analysis can be done by request for specific clients subscribing to premium services as agreed to by Client and Keystone Charts, Inc. in writing.  Subscription rates vary based on level of Membership Services.  Group rates are negotiable.

Cancellation of your subscription to any Membership Services will take effect at the end of the then current billing cycle, with no pro-rata refund for any unused portion of your subscription.  Keystone Charts retains the right to suspend or terminate your Membership Services, and to prohibit your current or future use of the Membership Services for failure to make timely payment or for any violation of the Terms of this Agreement.

When using the Membership Services you may not republish, upload, post, transmit or distribute content available through the Membership Services to any third-party without Keystone Charts’ prior written permission. Modification of the content or use of the content for any purpose other than your own personal, non-commercial use is a violation of our copyright and other proprietary rights, and can subject you to legal liability.

Keystone Charts shall perform its services in accordance with applicable laws, including securities legislation, policies and other instruments thereto. Keystone Charts shall perform its services in a manner that is independent, objective and minimizes any potential conflicts of interests when providing Membership Services.

Membership Services are the property of Keystone Charts, Inc. and is protected by U.S. and International copyright and other intellectual property laws.   All rights are reserved.  Membership Services may only be used by subscribing members.  The terms “Keystone Charts”, “Keystone Charts, Inc.”, and other marks and logos displayed on the website or as part of the Membership Services (excluding those identified as the property of third parties), are trademarks and service marks of Keystone Charts and may not be used without its express written consent.

Membership Services provided are not necessarily complete and accuracy is not guaranteed by Keystone Charts.  Membership Services provided to Client do not constitute a solicitation for the purchase of any future or security.   Opinions, market data, and recommendations in Membership Services are subject to change at any time.  Keystone Charts and its officers may in the normal course of business, have position(s), which may or may not agree with the opinions expressed in the Membership Services.  Keystone Charts shall not be responsible for any loss due to inaccuracies or delays in the information provided or for any trading losses or trading expenses.   

In recognition of the relative risks and benefits of this Agreement, the risks have been allocated such that subscription members agree, to the fullest extent permitted by law, to limit the liability of Keystone Charts to clients/members for any and all claims, losses, costs, damages of any nature whatsoever, so that the total aggregate liability of Keystone Charts, Inc. to you shall not exceed Keystone Charts’ total fee for Membership Services rendered in the immediately preceding twelve months.  It is intended that this limitation apply to any and all liability or cause of action however alleged or arising, unless otherwise prohibited by law.
